Terms of Sale

1. General

The “Seller” means Arrco Lighting Co. The “Buyer” means the person, firm or company to whom the seller sells the Goods to. All quotations are given and all orders are accepted on these terms. Replace and supersede any other terms wherever appearing and override will exclude any other terms stipulated or incorporated or referred to by the Buyer, whether in the order or in any negotiations, and any course of dealing established between the Seller and the Buyer. All orders hereafter made by the buyer shall be deemed to be made subject to these terms.

2. Acceptance of order

No contract for the sale of goods shall be concluded until either the seller sends or otherwise communicates to the buyers its acceptance of the buyer’s order. No modification of these items shall be effective unless made by an express written agreement between the parties. If we are unable to accept your order, we will inform you of this and will not charge you for the product. This might be because the product is out of stock, because we have identified an error in the price or description of the product or because we are unable to meet a delivery deadline or product is discontinued. Once you confirm you would like to place an order, our acceptance of your order will take place when you send us a Purchase Order confirmation document, at which point a contract will come into existence between you and us. You cannot make any changes to your order after we have received your Purchase Order confirmation so please check the Sales Quotation carefully.

You are only able to amend or request for refund 3 days after you have confirmed the order, made advance / deposit or full payment. Outside of this grace period no amendments or cancellation can be made to your order.

3. Illustrations, Description, Dimensions, Weight, Volume

All descriptions and illustrations contained in catalogues, Price lists, submittals, advertisements or otherwise communicated to the buyers are intended to merely present a general idea of the goods describe therein and nothing contained in any of them shall from part of the contract.

4. Designs

The seller’s policy is one of continuous improvement. The right to change designs at any time without is reserved.

5. Samples

Notwithstanding that a sample of the goods may have been exhibited to and inspected by the Buyers, it is hereby agreed that such sample is so exhibited and inspected solely to enable the Buyers to judge for themselves the quality of the bulk and not so as to constitute a sale by sample. The buyers shall take the goods at their own risk as to their corresponding with the said sample or as to their quality condition or sufficiency for any purpose.

6. Delivery

All delivery dates are estimated and the time for delivery shall be of the essence of the contract. Under no circumstances shall the seller be liable to compensate the Buyers in damages or otherwise for non-delivery of late delivery of the goods or any them for whatever reason or for any loss consequential or otherwise arising there from. The seller reserves the right to make partial deliveries and to allocate available supplies amongst customers. In time of shortage the seller shall be entitled to deliver the good in one or more consignments unless otherwise expressly agreed. Delivery shall be deemed to take place, when the goods are dispatched from the seller’s premises. The seller shall not be liable for any loss of any kind to the buyer arising from any damage for the good occurring after the risk has been passed to the buyers. However, caused nor shall any liability of the buyers to the seller be diminished or extinguished by reasons of such loss. We are not responsible for delays outside our control. If your delivery of the products is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Once the order is placed and payment is fully made, you will have to collect your products within limited time of 5-7 working days of the product(s) availability or collection notification by our office. Failing to collect, Arrco Lighting Co. reserves the rights to re-sell the particular product(s) to other customer(s) should deem necessary. When you/your company claims for the collection outside of this collection date (5-7 working days) we will be considered this as new order and new charges will be applicable for the same with updated lead time.

7. Cancellation

No Cancellation will be accepted after 5 days from the date of LPO. Any Cancellation after stipulated time; advance payment will be forfeited. No Cancellation’s will be allowed in case of partial delivery and customized items.

All Prices quoted include delivery to site or to Buyer’s stores in the United Arab Emirates. The seller shall repair or replace free of change goods damaged in transit or not delivered in accordance with the invoice and packing list, provided that in the event of damage of shortage, Written notification giving details of such damage or shortage must be sent to the seller within 7 days of receipt and in the case of non-delivery within 10 days of the date shown on the advice, In the event of failure to give notice within the afore mentioned period the Goods will be deemed to be in all respects as invoiced.

8. Returns

Goods supplied in accordance with the Buyer’s orders cannot be accepted for return without seller’s written consent, if such consent is given an administration charges will be made. Returned Goods must be sent carriage free at the Buyers risk and will only be accepted if package in the original carton which in the seller’s opinion is in a saleable condition. Only Goods of current design will be accepted for return Goods can only be returned within 30 days of invoice. Pre-order or customised items from the date of order cannot be modified, returned, exchanged or refunded.

9. Payment

Payment shall be made in UAE Dirham’s as per terms and conditions set out in the seller’s quotation. All invoices will be raised in accordance with the rule of the land applicable there to from time to time. Interest on all sums due shall run at the rate of 2 percent per annum over the base lending rates of Commercial bank of Dubai until payment is received before as well as after any judgment thereof. Any bounce cheque will incur 500/- AED charges to Buyer. Please note that Arrco Lighting Company LLC will accept 50,000 Dirhams maximum via credit card, 2% of the total value will be charged on any exceeding amount. The payment by the buyers from the seller for the goods can be made through bankers cheque, T.T, card payments or cash. The seller will identify the best payment method for the goods purchased by the buyers to eliminate difficulty for both parties.

10. Installation

Arrco Lighting Co. provides installation services for all the items purchased through our store. Our Team will visit your site for survey to identify the area and location of the fitting(s) to be installed. Upon completion of the survey we will provide you with the applicable installation charge and time. If identified area or location is not suitable to be installed our services team will advise you and may provide you with an alternative solution.

11. Workmanship Warranty

The workmanship warranty applies for 18 months from the date of project completion. The warranty is applied to products that are supplied and installed by Arrco Lighting Co.

12. Product Warranty

The product warranty is covered against manufacturing and material defects. The warranty claim will be considered after initial inspection of the defective products. The warranty includes only repair or replacement of the products with new fully functional product. The warranty does not cover:

• 12.1. Any rust, paint defect or physical damage due to poor storage conditions or improper use/ management;
• 12.2. Products that have been modified or repaired by any unauthorized personnel;
• 12.3. Failure due to expose to extreme conditions e.g. thunder, water ingress, fire, bad ventilation or other conditions beyond the control of Arrco Lighting Co.
• 12.4. Failures due to compatibility issues between the products and installation environment e.g. control system, power supply or the use of generators.
• 12.5. Any fading of fixtures due to environmental condition. The warranty can be claimed by submitting the faulty product with the respective invoice.

13. Liability

These terms set out by the seller’s entire liability in respect of the Goods and the seller’s liability under these terms shall be in lieu and to the exclusion of all other warranties. Conditions, terms and liabilities expressed or implied statutory or otherwise in respect of the quality or the fitness of any particular purpose of the Goods or otherwise (Notwithstanding any advice or representation to the Buyer, all liability in respect of which howsoever arising is expressly excluded) accept any implied by law which by law cannot be excluded. Save as provided in these terms and except as aforesaid the seller shall not be under any liability, Whether in contract or otherwise in respect of defects in the goods or failure to correspond to specification or sample or for any injury, damage or loss resulting from such defects or failure or from any work done in connection therewith. The seller shall be under no liability to any purchaser of the Goods from the buyers in any event the seller’s liability (if any) whether in contract or otherwise in respect of any defects in the Goods or for any break of this agreement or of any duty owned to the Buyers in connection herewith, Shall be further limited in the aggregate to the price of the goods in question. Nothing in these terms shall restrict the seller’s liability for death or personal injury caused by the seller’s negligence.

Arrco Lighting Co. is not accountable for any physical damages occured, if the items supplied are installed by any third party team.

14. Others

Any discrepancy in the document should be communicated in writing within 7 days of document date. By signing this document, the customer accepts Arrco lighting Company’s term receipts of all materials mentioned above in good condition and complete quantity and has no further claims whatsoever.

15. Force Majeure

Neither party shall be liable to the other for any failure or delay in the performance of any obligation hereunder as a result of strikes lockouts, trade disputes, breakdown of plants accident or other cause whatsoever beyond the reasonable control of the seller or the Buyers respectively.

Lutron Package:

Assumptions:

1. The scope of work only includes the installation, programming, and testing of Lutron devices and accessories as per the given BOQs.
2. Installation area height to not exceed 4 meters.
3. All existing LED drivers and lights to be easily accessible by ladder.
4. All existing cables to be in good condition and 220V power to be available in them.
5. Ceiling to be made of gypsum as access to cables behind the ceiling is required.
6. Existing lights to be compatible with the Lutron system.

Exclusions:

1. All civil works.
2. All cabling, piping, and re-circuiting.
3. All modifications on any existing DB or installation of new one.
4. All supply and use of scaffolding, boom lift, and man lift.
5. All gypsum and paint works.
6. All relocation and repositioning of the existing light fixtures.
7. Any add-ons are not included.
